01Acceptance of these terms

These Terms of Service ("Terms") govern your use of the R24 Enterprise Group, LLC ("R24," "we," "us," or "our") website and the services we provide. By using this website or engaging our services, you agree to these Terms. If you do not agree, please do not use the website or our services.

02Our services

R24 provides Microsoft 365 consulting and technology services for small and medium-sized businesses, churches, and other organizations. Services may include planning, licensing guidance, tenant setup, email and file migration, security configuration, device management, SharePoint and Teams setup, automation, training, and ongoing support.

The specific scope, schedule, deliverables, and fees for any project or support plan will be described in a written proposal, statement of work, or service agreement (an "Agreement"). Each Agreement incorporates these Terms by reference, and by signing or accepting an Agreement you agree to these Terms. If an Agreement conflicts with these Terms, the Agreement controls.

03Consultations and quotes

Free consultations are informational and do not create a client relationship or obligate either party. Quotes and proposals are based on the information you provide.

  • 30-day validity: pricing in a quote or proposal is valid for 30 days from the date it is issued, unless the quote states otherwise.
  • After 30 days: if the deposit is not paid within that period, we may need to update the quote before scheduling work, for example to reflect changes in Microsoft licensing prices or your environment.
  • Scope changes: if the actual environment or requirements differ from what was described, we may need to revise the scope, timeline, or price. We will discuss any change with you before it takes effect.

04Your responsibilities

To help us deliver services successfully, you agree to:

  • Provide accurate information and timely access to accounts, systems, domains, and people we need
  • Maintain the authority to grant us administrative access to your systems and data
  • Back up any data you consider critical before work begins, unless backups are included in our scope
  • Review and approve changes, cutover dates, and user communications when requested
  • Pay invoices according to the agreed terms

05Microsoft and third-party products

R24 is an independent service provider and is not Microsoft. Microsoft 365 and related products are provided by Microsoft Corporation and are subject to Microsoft's own terms, pricing, and service availability. Nonprofit grants and discounts, including those for churches, are offered and approved solely by Microsoft, and eligibility and offers may change at any time. We are not responsible for outages, feature changes, price changes, or decisions made by Microsoft or other third-party vendors.

06Fees and payment

Fees are set out in your Agreement or invoice. Unless your Agreement says otherwise, the following payment terms apply:

  • Projects: a deposit of 50% of the quoted project fee is due before work is scheduled. The remaining balance is invoiced when the project is completed.
  • Monthly support plans: billed monthly in advance, at the start of each service period.
  • Due date: all invoices, including deposit invoices, are due upon receipt.

Payment methods

We accept the following payment methods. Payment instructions are included on each invoice.

  • ACH / bank transfer, no fee
  • Zelle, no fee
  • Check payable to "R24 Enterprise Group, LLC", no fee. Payment is considered received when the check clears.
  • Debit cards, no fee
  • Credit cards, subject to a 3% processing fee on the amount charged. This fee covers our card processing costs, will be shown on your invoice or at checkout, and can be avoided by paying with any of the methods above.
  • Other methods may be arranged in advance by agreement.

Church and nonprofit discount

Churches, ministries, and other organizations recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code receive 20% off R24 service fees, including project fees and monthly support plans.

  • Eligibility: please request the discount before your quote is issued. We may ask for reasonable documentation, such as an IRS determination letter, a listing in the IRS Tax Exempt Organization Search, or, for churches, a letter on church letterhead confirming the organization's status.
  • What it covers: the discount applies to R24's own service fees. It does not apply to Microsoft licenses, hardware, software, or other third-party products or costs, which are billed at their actual price. Any nonprofit pricing on Microsoft licenses is provided separately by Microsoft.
  • Calculation: the discount is applied before the deposit is calculated and is shown on your quote and invoices.

If an invoice is not paid in full by its due date, a late fee of 1.5% of the past-due amount (or the maximum allowed by law, if less) will be charged beginning the day after the due date and on the same day of each following month while the balance remains unpaid. We may also pause work until accounts are current. Software licenses purchased on your behalf are non-refundable once ordered, except to the extent Microsoft or the applicable vendor allows cancellation or a refund under its own policies, such as within a limited window after purchase. Any refund we receive from the vendor for a cancelled license will be passed on to you.

07Changes, cancellation, and termination

Requests that fall outside the agreed scope may be billed as additional work after we let you know.

Cancelling a project

You may cancel a project at any time by notifying us in writing, including by email.

  • Deposit refund: if you cancel, we will refund your deposit minus the value of work already performed, at the rates in your Agreement, and minus any non-refundable licenses, products, or third-party costs purchased for your project.
  • 3 business days' notice: please give at least 3 business days' notice before a scheduled work date, migration, or on-site visit. If you cancel or reschedule with less notice, we may also deduct a reasonable charge for the time reserved for that scheduled work.
  • Timing: refunds are issued within 15 business days after cancellation, along with a written summary of any deductions.
  • Work beyond the deposit: if the value of work performed and costs incurred exceeds the deposit, the difference will be invoiced and is due upon receipt.

Ending a support plan

Either party may end a monthly support plan with 30 days' written notice unless your Agreement says otherwise. You are responsible for fees for work completed and costs incurred up to the termination date. When services end, we will return administrative access and documentation for your environment.

08Confidentiality and data

We treat your business information and data as confidential and access it only as needed to perform the services. You retain ownership of your data, accounts, and tenant. Our handling of personal information is described in our Privacy Policy.

09Intellectual property

The content of this website, including text, graphics, logos, and design, is owned by R24 or its licensors and may not be copied or reused without permission. Documentation and configurations we create specifically for you are yours to use for your organization once paid for. We keep the right to reuse our general know-how, templates, scripts, and methods.

10Use of this website

You agree not to misuse this website, including by attempting to gain unauthorized access, interfering with its operation, or using it for unlawful purposes. Information on this website is for general informational purposes and is not a guarantee of specific results, pricing, or availability.

11Disclaimer of warranties

We perform services in a professional and workmanlike manner consistent with generally accepted industry practices. Except as expressly stated in an Agreement, the website and services are provided "as is," without other warranties of any kind, express or implied. No security measure can guarantee protection against every threat, and we do not guarantee that systems will be free of errors, interruptions, or security incidents.

12Limitation of liability

To the fullest extent permitted by law, R24 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising from any services or use of this website will not exceed the greater of (a) the total fees you paid R24 under the Agreement giving rise to the claim, or (b) the fees you paid R24 during the 12 months before the claim arose.

These limitations do not apply to liability arising from R24's gross negligence, willful misconduct, or fraud, or to any liability that cannot be limited under applicable law.

13Indemnification

You agree to defend and hold R24 harmless from claims arising from your misuse of the website or services, your violation of these Terms, or content and data you provide that you do not have the right to share.

14Governing law and disputes

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law rules. Before filing any claim, both parties agree to try in good faith to resolve the dispute informally. Any legal action will be brought in the state or federal courts located in Baltimore County, Maryland.

15General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may update these Terms from time to time by posting a new version on this page and updating the effective date. Continued use of the website or services after changes means you accept the updated Terms.
